TERMS AND CONDITIONS

 

The following terms of business relate to work undertaken by Regulatory and Compliance Services (hereinafter referred to as "RCServices") on behalf of clients.   These Terms shall govern the contract between RCServices and the client to the exclusion of any other terms.

 

All projects are generally based on a clear specification or proposal using a fixed price quotation.  Components of the project that are outside the scope of work are charged at time and materials based on the current quoted rates.

Fees specified on a proposal will be held for one month from the date of the proposal. Proposals accepted after that time may be subject to increased prices and delayed schedules.

Expenses incurred in the course of undertaking the project, such as travel, hotel accommodation, reasonable subsistence and other incidentals are charged extra to the fees and will be billed at cost.

RCServices’ standard charge-out rate is based on staff performing a maximum of eight (8) hours work per day unless otherwise agreed in writing between the parties. If evening, weekend or public holiday work is involved and/or if the project involves work outside the British Isles, higher rates will apply (unless agreed in writing).  Fees are calculated on whole and half day basis, and will be agreed in advance before work is carried out.

If the client requests any variation to the project RCServices will seek to meet the request.  If this change results in extra time being taken then this will be charged at the prevailing rate.

Unless previously agreed fees payable for each consultancy time period will be payable within 30 days.  Accounts are to be settled upon receipt of invoice.

Notifications of matters arising from work carried out must be received by RCServices in writing within 7 days from the actual consultancy day, or if previously agreed the end of the project, otherwise all work will be deemed satisfactory and no further disputes may be entered into.

Charges for cancellations before the commencement of a consultancy assignment are as follows:

Within three working days: 100% of fee

Within five working days: 50% of the fee

Each party shall keep confidential all information obtained from the other pursuant to the contract of which these Terms are part and shall not divulge information to any third party without the other's prior written consent. Each party should ensure that its servants, agents, employees and sub-contractors are bound by the provisions of this clause.

The client will give RCServices such access to their offices and to client information as RCServices may require in the performance of the assignments. The client will also ensure that RCServices has sufficient working space and facilities and will secure and keep safe all of RCServices’ property.

RCServices will not be required to provide the services detailed in the specification or proposal if prevented from doing so by the acts or omissions of the client or the client's personnel.

Neither party shall be liable for any default under the contract of which these Terms are part resulting from causes considered beyond their reasonable control.

Materials and intellectual property are supplied on the basis that RCServices does not have any liability of any kind (including negligence) to the client or any other party arising out of the use by the client or any other person of any information or opinions expressed during the course or any materials supplied to him or out of the interpretation of any information derived from them.

In the event of illness or other unusual circumstances, RCServices cannot guarantee that a particular individual will carry out the project, although all reasonable efforts will be made.  The client will indemnify RCServices for any loss, claim, damage or expenses incurred by RCServices as a result of any breach of the contract of which these Terms are part by the client without RCServices’ consent.

No waiver by RCServices of any breach of the contract of which these Terms are part shall be considered as a waiver of any subsequent breach of the same or any other provision.  If any provision of the contract of which these Terms are part is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of the contract and the remainder of the provision in question shall not be affected thereby.

The contract of which these Terms are part shall be subject to and be construed in accordance with English law and subject to the exclusive jurisdiction of the courts of England.
